Introduction

UmmaUp.com.au is a website (the "Site") that includes classified advertisements and associated material generated and maintained by third party users. These Terms of Use and the Privacy Policy (collectively, "Terms") govern your use of the Site, including any access, services, and features, and you should carefully consider both. You agree to be bound by these Terms by using the Site in any manner.

The Site retains the right to amend the Terms at any time and for any reason. Updated copies of the Terms will be uploaded to the Site at UmmaUp.com.au, and you should check this page regularly to stay up to date on any changes. You acknowledge and agree to the amended Terms by continuing to use the Site following any such modification.

The Site retains the right to alter or cancel, temporarily or permanently, the Site, any site features, benefits (including, without limitation, banning or terminating your Account), rules or conditions, at any time and without notice, even if such changes may impact how you use the Site. You agree that the Site will not be responsible to you or any other party if the Site is modified or discontinued.

 

Your Account

Some of the Services may need you to register with us and create an account with your email address and a password (your "Account"). The email address you use to register will be your email address, and you are entirely responsible for keeping your password secure. All activities that occur under your Account are strictly your responsibility.

You may connect to the Services using a third-party service (for example, Facebook or Google+), in which case you grant us permission to access, retain, and use your information from that service as authorized by that service and as specified in our Privacy Policy. If you find your Account has been jeopardized or abused, please notify us immediately at UmmaUp’s Customer Service.

User Conduct: 

You must be at least 18 years of age to utilize the Services. You promise to only publish about goods or services in Australia in the correct category or location, and you agree not to do any of the following negative things:

  • Violate any laws or the Posting Rules; 
  • Post any threatening, abusive, defamatory, obscene, or indecent material; 
  • Be false or misleading; 
  • Infringe any third-party right; 
  • Distribute or send communications containing spam, chain letters, or pyramid schemes;
  • Distribute viruses or other technologies that may harm UmmaUp, the Services, or the interests or property of UmmaUp users;
  • Impose an unreasonable load on our infrastructure or interfere with the proper functioning of the service;
  • Circumvent measures used to block or limit access to the Services; and 
  • Place an ad to profit from a natural catastrophe, public health or safety problem, or tragic occurrence.
  • Posting pornographic materials or explicit adult material, as well as any material that violates the law.
  • Posting obscene or vulgar and lascivious visuals or pictures or simulated sexual actions, or any conduct that suggests or promotes sexual acts or solicits sexual favor, anywhere on the Site.
  • Making any direct or "coded" solicitation for any illicit service trading sexual favors for money or other valued consideration.
  • Posting any content on the Site that exploits children. 
  • Posting any material on the Site that constitutes or aids in human trafficking.
  • Posting any advertisement for items or services whose use or any law or regulation forbids the sale
  • Sending mail, email, voice messages, or faxes to a user of the Site to solicit any other goods or service unless the user has provided permission in their ad or otherwise approved contact for solicitation;

Improper Use of Services

UmmaUp and the UmmaUp makes every effort to keep the Services operational and the community secure. Please notify us of any difficulties, objectionable content, or policy violations using the reporting system. You are entirely responsible for the information you provide to UmmaUp and the consequences of your posts. We reserve the right to deny, delete, or remove information that we believe is improper or violates these Terms of Service. We may also limit a user's use of the Services, temporarily or permanently, or deny a user's registration. We may provide warnings, suspend or cancel our Services, delete hosted material, and take technical and legal means to keep users off the Services without limiting other remedies.

We may issue warnings, suspend or cancel our Services, delete hosted material, and take technical and legal means to keep users off the Services if we believe they are causing difficulties or acting inconsistently with the word or spirit of our rules without limiting other remedies. However, regardless of whether we take any of these efforts, we assume no duty to monitor the Services, illegal or unlawful content on the Services, or user’s use of the Services. You also agree that UmmaUp is under no obligation to monitor any data or material posted to or made available through the Services.

 

Use of Materials

Any advertisements or communications you post, transmit, or otherwise make available for viewing on the Site's public sections will be considered non-confidential and non-proprietary to you. You acknowledge and agree that any such advertising and messages may be used by the Site or our partners for any purpose and in any medium, including our print media, if any, without your review or consent. You give the Site (and its affiliates) the irrevocable right to use and alter your advertisements and communications for any purpose, including reproduction, disclosure, transmission, publishing, broadcast, Posting, and advertising in any media in continuity without notice or compensation to you.

 

Content

UmmaUp's Services include material from us, you, and other users. Copyright laws and international conventions protect UmmaUp. Copyright laws and international treaties protect content presented on or through the Services as a collective work and compilation. Without our explicit written authorization, you agree not to reproduce, distribute, or alter content from the Services, our trademarks, or copyrights. You may not deconstruct or decompile the Services, reverse engineer it, or seek to find its source code. Without limiting the above, you undertake not to replicate, copy, sell, resell, or exploit any part of the Services for any purpose (other than your content). When you provide us with a range, including photographs, you grant us and represent that you have the right to give us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise any copyright, publicity, trademarks, design, database, and intellectual property rights to that content, in any media now known or to be discovered in the future, including third-party sites and applications. You also release any moral rights to the content to the greatest extent permitted by law. We retain the right to delete content if we detect a violation of these terms or the rights of any party.

 

Fees

 

In most cases, using the Services is free. We may charge a fee for specific features or Services on occasion. If the function you use has a fee, you can evaluate and approve it before purchasing it. Any features you have added to your ad will not be halted if you choose to pause it at any time. Our fees are given in Australian dollars and are subject to change. We will inform you if there's any change to our fees by posting them on the website. We may adjust our rates momentarily for testing purposes, promotional events, or new features; these changes take effect when the pricing change is publicized on the Site. Our fees are non-refundable after the feature is delivered, and you are responsible for paying them on time. We may only allow your ability to use the Services if you comply. If your Account is past due or your payment method fails, we may use collection measures such as third-party debt collection firms to collect outstanding costs. Where relevant, Australian taxes on our Services will be collected. You agree to submit truthful information essential for UmmaUp to comply with our legal requirements. You are entirely liable for collecting and remitting all relevant taxes from selling your products or services advertised on UmmaUp's Services.

 

Copyright infringement (Verified Rights Owners - VeRO)

Do not upload information that violates the rights of others. It includes, but is not limited to, content that violates intellectual property rights like copyright and trademarks (e.g., offering counterfeit items for sale). We have all the right to delete content if we believe it violates these terms, our policies, or the rights of any third party. If you have a sound opinion that a listing on any of the Services infringes your copyright, trademark, or other intellectual property rights, download our Notice of Infringement (NOCI) form, fill it out, and email it to the email address provided. Only the owner of intellectual property rights can report potentially infringing products or ads via UmmaUp's VERO Program. UmmaUp will confirm your enrollment in our program and email you instructions on how to submit subsequent reports electronically after we receive your first NOCI. We can share the completed NOCI form with the third party that initially placed the allegedly infringing listing in line with relevant legislation.

 

Third-Party Services on UmmaUp

Payment and delivery of products or services and any other terms, conditions, warranties, or representations connected with such dealings are entirely between you and such organisations and persons. UmmaUp agrees not to be responsible or liable for any damage or loss incurred as a consequence of such interactions. You acknowledge and agree that UmmaUp is under no obligation to become involved in any conflict between site participants, users, or third parties. If you have a conflict with one or more other users, you at this moment release UmmaUp, its officers, employees, agents, and successors in rights from any claims, demands, and damages (actual and consequential), disclosed or undisclosed, suspected or unsuspected, known or unknown, that may arise in any way related to such disputes and our service.

Financial and Legal Advice

You understand and accept that you have the option to seek independent legal and financial advice from adequately qualified professional advisers and that you consider your particular objectives, financial condition, and requirements before purchasing or selling an item through our Services.

You acknowledge and agree that the information provided by UmmaUp about using PayPal's services is factual in nature only, that UmmaUp has not provided a recommendation or statement of opinion intended to influence your decision about whether or not to use PayPal's services, and that you cannot rely on any of UmmaUp's advertising materials, terms, instructions, or policies as a recommendation, statement of opinion, or financial product advice.

 

Limitation of Liability

Nothing in these Terms of Service excludes, limits, or changes any rights or statutory guarantees you may have under applicable laws that cannot be excluded, limited, or altered, including any such rights or statutory guarantees under the Australian Consumer Law.
 

To the limit that these Terms of Use are deemed to exclude, limit, or change any such rights, or statutory guarantees, such rights, and statutory guarantees will prevail.
 

Services are offered on an "as is" and "as available" basis. You agree not to hold us liable for anything that other users post or do. Because different users contribute the majority of the information on the Services, we cannot guarantee the accuracy of postings or user communications nor the quality, safety, or legality of what is provided. Without limiting the above, you acknowledge and agree that any seller listing that uses the 'Price Drop' function was done at the exclusive discretion of that individual user for their listing. UmmaUp makes no representation, warranty, or assurance that any price displayed for any listing on the Services that employ the Price Drop function is an actual price drop.


We cannot also provide uninterrupted or secure access to our Services. While we will make reasonable attempts to maintain an uninterrupted service, we cannot guarantee it, and we make no guarantees or warranties (whether explicit or implied) concerning the availability of our Services or that the Services will be error-free or uninterrupted. The Services' notification feature may not be available in real-time. That capability is subject to delays beyond our control, including, but not limited to, delays or latency caused by your physical location or the network of your cellular data service provider. 

To the greatest extent permitted by law:

  • We are not liable for any threatening, unlawful, defamatory, abusive, obscene, or indecent information or material posted by a user of the Service that violates or infringes on your rights, including, without limitation, any transmissions encouraging or constituting a way of conduct that would constitute a criminal offense, give rise to civil liability, or otherwise breach any applicable law.
  • UmmaUp's liability to you for any failure by UmmaUp to comply with any statutory guarantee under the Australian Consumer Law is limited to UmmaUp resupplying the Services or paying you the cost of having the Services resupplied without restricting any rights that you may possess under the Australian Consumer Law.

 

Furthermore, we (including our parent, subsidiaries, and affiliates, as well as our and their officers, directors, agents, and employees) are not liable. You adhere not to hold us responsible for any losses or damages (including, but not limited to, goodwill, loss of money, or profits, reputation, other intangible losses, or any indirect, special, or substantial damages) that result directly or indirectly from:

  • The content you give (directly or indirectly) using our Services; 
  • Your use of or failure to use our Services;
  • Disruptions or delays in our Services; viruses or other bad software obtained by linking or accessing to all our Services; 
  • Errors, glitches, bugs, or inaccuracies of any type in our Services; 
  • Damage to your hardware device from using any of our Service; 
  • The actions, content, or inactions of third parties, including items listed using our Services;

 

UmmaUp disclaims any liability to you for any loss or damage you experience as a result of UmmaUp failing to conform with an applicable statutory guarantee under the Australian Consumer Law if the loss or damage was not reasonably foreseeable was not caused directly by UmmaUp. 

Indemnification

You agree to indemnify and hold harmless UmmaUp and our affiliates, as well as our and their respective directors, officers, employees, and agents, (each an "Indemnified Party"), from any claim, that any third party makes, including any amounts that is payable to the third party, whether in settlement or as otherwise awarded and reasonable legal costs obtained by any of the Indemnified Parties, relating to or arising from to your use of the Services, any supposed violation by you. We retain the right, at our own expense, to take exclusive control and defense of any matter subject to indemnification by you, but this does not relieve you of any indemnity obligations. 

Release

If you disagree with one or more UmmaUp users, you agree to release us (and our directors, officers, agents, subsidiaries, joint ventures, and employees) from any claims, demands, and damages (actual and consequential), known or unknown, arising out of or in any way connected with such disputes.

 

Personal Information

By using the Services, you consent to us (the "data controller") collecting, transferring, storing, and utilizing your personal information on servers in the United States and the European Union, as further defined in our privacy policy.

 

Severability

Suppose any term of these Terms of Use is found to be unlawful or unenforceable in any relevant jurisdiction. In that case, that provision may be severed for that jurisdiction without affecting the enforceability of the other parts of these Terms of Use.

 

General

These Terms of Use and any other rules displayed on the Services constitute the complete agreement between UmmaUp and you and supersede all earlier agreements. This agreement is governed by the prevailing laws of New South Wales, Australia, as of January 23, 2023. We both agree that New South Wales, Australia's courts have non-exclusive jurisdiction over us. If we do not enforce a specific clause, we do not waive our right to do so later. If a court rules against any of these Clauses of Service, the other terms will remain in effect. In our sole discretion, we may automatically assign this agreement in line with the notice clause below (our assignment to an associate will not need notice). Your notifications, except complaints involving unlawful or infringing content, must be addressed by registered mail to the following address:

Notices will be sent to you via the email address you specify or registered mail. Messages sent by registered mail are received five days after the shipping date. We reserve every right to revise this agreement at any time, with changes taking effect when you next visit the site or after 30 days, whichever comes first. Mobile Devices Terms

If you use a mobile device to access UmmaUp Services through a UmmaUp Mobile Application (the "Application"), the below mentioned terms and conditions ("Mobile Devices Terms") pertaining to you in addition to the appropriate Mobile Privacy and Legal Notice or End User License Agreement. Your usage of the Application indicates your acceptance of the Mobile Devices Terms.

 

Application Use

UmmaUp provides you permission to use the Application solely for personal purposes. When using the Application, you must follow all relevant laws and third-party terms of agreement (e.g., your wireless data service agreement). The Application may have different functionality than the website www.ummaup.com.au. You download and use the Application at your own risk, and you are entirely liable for any damage to your hardware device(s) or data loss that results from the download or use of the Application.

 

Intellectual Property_Applications

UmmaUp owns or has a license to all rights, titles, and interests in its Applications, including all patent, copyright, trade secret, trademark, and other property rights, as well as all applications, renewals, extensions, and restorations thereof. You will not remove, obscure, or change UmmaUp's copyright notice, trademarks, or other proprietary rights notice attached to, contained within, or accessible in conjunction with or by any UmmaUp Application.

 

Prohibited Countries Policy and Foreign Trade Regulation_Applications

UmmaUp Applications or their underlying technology may not be downloaded, exported, or re-exported: (a) into (or to a resident or national of) list of prohibited countries or any other country subject to Australian Department of Treasury. (b) To anyone on the Australian Treasury Department's list. (c) You are responsible for compliance with trade rules and both international and local laws while using the UmmaUp Application (e.g., you are not situated in a place subject to Australian Department of Treasury or that has been appointed by them as a "terrorist supporting" country, and you are not on any Ausralian Government list of prohibited or restricted parties).

 

Additional Terms

Additional terms and conditions pertaining to you are dependent on the mobile device on which you have installed the Application:

 

iOS_Apple

  1. These Mobile Devices Terms are a contract between you and UmmaUp, not Apple. Apple is not responsible for the Application or its content.
  2. UmmaUp allows you the right to use the Application only on an iOS product you own or control and only as authorized by the App Store Usage Rules.
  3. Apple is under no obligation to provide any maintenance or support services in connection with the Application.
  4. Apple is not obligated to investigate, defend, settle, or dismiss any third party intellectual property infringement claim.
  5. Apple is not liable for any claims made by you or any third party about the Application or your ownership and use of it, including, but not limited to: (a) product liability claims; (b) any claim that the Application fails to comply with any applicable legal or regulatory requirement; and (c) claims made under consumer protection or similar legislation.
  6. If the Application fails to conform to any applicable warranty, you may inform Apple, and, if applicable Apple will refund the purchase price, for the Application to you; and Apple will have no other warranty obligation whatsoever concerning the Application to the maximum extent permitted by applicable law.
  7. Apple and its subsidiaries are third-party beneficiaries of these Mobile Devices Terms. Upon your acceptance, Apple will have the right (and will be assumed to have accepted the request) to enforce these Mobile Devices Terms against you.

 

Microsoft Windows

  1. You and UmmaUp, not Microsoft, have agreed to these Mobile Devices Terms. The Microsoft terms of Service, privacy policies, and network operators that offer billing services for the Windows Phone Marketplace do not apply to your application use.
  2. You may install and use one (1) copy of the Application on up to five (5) devices owned or controlled by you that are linked to the Windows Live ID associated with your Windows Marketplace account. You are not permitted to install or use a copy of the Application on any device that you do not own or control.
  3. Support services are not provided by Microsoft, your device maker, or (if applicable) your cellular carrier for the Application.
  4. Microsoft, the cellular carriers whose networks the Application is distributed via (if applicable), and each of their respective suppliers and affiliates (collectively, "Disclaiming Distributors") provide no explicit warranty, guarantee, or conditions concerning the Application. The Disclaiming Distributors reject all implied warranties or terms, including those of merchantability, fitness for a specific purpose, and non-infringement, to the degree permissible by your local laws.
  5. You face the risk of utilizing the Application, not the Disclaiming Distributors (even if the Disclaiming Distributors have been informed of the possibility of damages to you). You may have additional consumer rights applicable under local laws unaffected by these Mobile Devices Terms.
  6. You shall not attempt to collect any lost profit, consequential, special, indirect, or incidental damages from any Disclaiming Distributor to the degree permitted by law.

  • When you submit your resume, for example, if you want to submit your resume for consideration to advertisers on our site

  • Unique user ID, device ID or, device type, ID for advertising, and unique device token from the devices you use while engaging with us or our Services.


Geo-location data gives information about your location.

Google Maps: If you include your business address while creating a listing, we may display it on a map (Google Maps) in your relevant listings. For this reason, we send address data to third-party service providers such as Google Ireland Limited for use with Google Maps (please see Google's Privacy Notice for more information). If a user does not want their location information to be shown on a map in their listings, they may contact UmmaUp’s customer care at any time.
